These Terms and Conditions ("Agreement") constitute a legally binding contract between KORIX LLC, a Texas limited liability company ("Company," "we," "us," or "our"), and you ("Customer," "you," or "your"). This Agreement governs your use of our website at korixllc.com and all requests for quotes and purchase orders submitted through it.
KORIX LLC is organized and in good standing under the Texas Business Organizations Code, Chapter 101 (Texas Limited Liability Company Act).
KORIX LLC supplies industrial and specialty goods to federal, institutional, and commercial buyers, and provides digital services as described on our website. Descriptions of our supply categories and services are provided for reference; we make reasonable efforts to keep this information accurate but do not warrant that it is error-free, complete, or current at all times. Submitting a Request a Quote / PO form is a request for a formal quote, purchase order, or invoice, not a binding order — KORIX LLC reviews each request individually and follows up directly to confirm pricing, availability, and terms before any transaction is finalized.
Prices shown on product reference pages are stated in United States Dollars (USD) and are provided for procurement reference; final pricing, payment terms, and invoicing are confirmed individually per quote through our Request a Quote / PO process, which supports purchase orders, invoicing, and net-terms arrangements for eligible buyers.
Many products sold by KORIX LLC are intended for industrial, commercial, or specialized use and may require proper training, protective equipment, or professional installation. It is the Customer's responsibility to review any included documentation, safety data, or manufacturer specifications and to use products only as intended and in compliance with applicable safety codes and regulations. KORIX LLC is not responsible for injury, loss, or damage resulting from misuse, improper installation, or use of a product outside its intended application.
All website content — including text, graphics, logos, and product photography created or licensed by KORIX LLC — remains the property of KORIX LLC or its licensors and may not be reproduced without permission.
TO THE MAXIMUM EXTENT PERMITTED BY TEXAS LAW, KORIX LLC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO ANY QUOTE, PURCHASE ORDER, OR TRANSACTION SHALL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM. IN NO EVENT SHALL KORIX LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR REVENUE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT AS EXPRESSLY STATED ON A PRODUCT PAGE OR MANUFACTURER DOCUMENTATION, PRODUCTS ARE SOLD "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TO THE EXTENT PERMITTED BY TEXAS LAW. NOTHING IN THIS SECTION LIMITS ANY WARRANTY RIGHTS YOU MAY HAVE DIRECTLY AGAINST A PRODUCT'S MANUFACTURER.
KORIX LLC does not itself manufacture the products it sells. Where a warranty applies to a product, it is provided by that product's manufacturer, and its length and terms vary by product — KORIX LLC does not offer a separate, blanket store-wide warranty. Contact us with your quote reference and we will help you locate the manufacturer's warranty information for the specific product.
This Agreement shall be governed exclusively by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising under or related to this Agreement shall first be submitted to non-binding mediation in Dallas County, Texas. If mediation is unsuccessful, disputes shall be resolved by binding arbitration under the American Arbitration Association Commercial Arbitration Rules, seated in Dallas, Texas. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction in Dallas County, Texas.
Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters, acts of government, carrier delays, power failures, internet disruptions, or other events of force majeure, provided the affected party gives prompt notice where practicable.
This Agreement constitutes the entire agreement between the parties regarding use of the website and requests for quotes or purchase orders submitted through it, and supersedes all prior negotiations, representations, or agreements. KORIX LLC reserves the right to modify these Terms at any time. Material changes will be communicated via prominent website notice at least fourteen (14) days prior to taking effect. Continued use of the website after the effective date constitutes acceptance.
